Guidance: Disposing of UK property as an overseas entity

Youll need to review the status of any known applications to dispose of UK property. Your legal adviser can check if theres a pending application.

You can search the names of overseas entities for proprietors names. This will tell you which titles still show a proprietor with the same name as the overseas entity.

If the application to transfer property to a third party is still pending

Contact the relevant land registry as soon as possible. They can expedite your application and will tell you if they cannot complete it before 31 January 2023.

For property in England and Wales, ask HM Land Registry to fast track your application.

For property in Scotland, contact Registers of Scotland.

If youre still on the register as a proprietor after 31 January 2023

You should take legal advice about whether you need to apply for registration on the Register of Overseas Entities.

If Companies House has contacted you because you have not registered the overseas entity

Contact Companies House to tell them about the pending application to dispose of UK property.

If you disposed of your UK property after 28 February 2022

Youll need to comply with reporting duties under section 41 and section 42 of the Economic Crime (Transparency and Enforcement) Act 2022.
