Clearance decision

4 October 2022: The CMA has cleared the completed acquisition by GXO Logistics, Inc. of Clipper Logistics Plc. The full text of the decision will be published in due course.

Revocation of Initial Enforcement Order

12 September 2022: In view of the statutory restrictions under section 72(2) of the Enterprise Act 2002 and the evidence it has received through the course of its investigation, the CMA has revoked the initial enforcement order. The CMA is continuing to conduct its assessment of the merger and has not yet decided whether the deal will result in a substantial lessening of competition.

Launch of merger inquiry

12 August 2022: The CMA announced the launch of its merger inquiry by notice to the parties.

13 September 2022: the CMA has given notice to the parties that, as a result of the Bank Holiday for the State Funeral of Queen Elizabeth II on the 19th September 2022, the new deadline for the CMA to announce its decision whether to refer the Merger for a Phase 2 investigation is 11 October 2022.

Invitation to comment: closed

The Competition and Markets Authority (CMA) is considering whether it is or may be the case that this transaction, if carried into effect, will result in the creation of a relevant merger situation under the merger provisions of the Enterprise Act 2002 and, if so, whether the creation of that situation may be expected to result, in a substantial lessening of competition within any market or markets in the United Kingdom for goods or services.

To assist it with this assessment, the CMA invites comments on the transaction from any interested party.

Initial enforcement order

17 May 2022: The Competition and Markets Authority has served an initial enforcement order under section 72 (2) of the Enterprise Act 2002 on GXO Logisitics, Inc. (GXO) and Clipper Logistics Plc (Clipper) in relation to the anticipated acquisition of Clipper Logistics plc by GXO Logistics, Inc.
